Terms of Use

These Terms of Use ("Terms") are an agreement between you and Logicode Software LLP ("Logicode", "we", "our", or "us"), based in Surat, India.

By visiting our website, creating an account, or using any of our products, you agree to these Terms. If you use the Services on behalf of a business, you confirm that you are authorised to accept these Terms for that business, and "you" includes that business.

If you do not agree, please do not use the Services.

These Terms cover logicodesoftware.com and our software-as-a-service products — AksharPOS (retail POS), AksharWAP (WhatsApp marketing & automation), and AkshaResto (restaurant POS) — including their websites, web apps, and mobile apps (together, the "Services").

Some products, plans, or custom arrangements may come with additional terms or an order form. If those conflict with these Terms, the additional terms apply for that product or arrangement.

• You must be at least 18 years old and give accurate, complete information when you sign up.
• Keep your log-in details confidential. You are responsible for all activity under your account, including activity by staff you add as users.
• Account administrators control who can access the account and what they can see, and are responsible for removing users who should no longer have access.
• Tell us immediately at info@logicodesoftware.com if you suspect unauthorised access to your account.

• Plans and fees. Paid Services are billed according to the plan you choose, as shown on our pricing page, in the product, or in your order form. Prices are exclusive of GST and other applicable taxes unless stated otherwise.
• Renewal. Subscriptions renew automatically for the same period unless you cancel before the renewal date. You can cancel from within the product or by contacting us.
• Free trials. Trials let you evaluate a product for a limited time. At the end of a trial, you will need to choose a paid plan to keep using it.
• Refunds. Unless your plan or the law says otherwise, fees already paid are non-refundable, including for partial billing periods.
• Late payment. If payment fails or is overdue, we may suspend access after giving you notice and a reasonable chance to pay.
• Price changes. We will notify you before any price change applies to your subscription. The new price takes effect from your next renewal.

You keep all rights to the information you or your users put into the Services — such as products, sales, invoices, customer records, and WhatsApp contacts and conversations ("Your Data").

• You give us permission to host, process, and display Your Data only as needed to provide, secure, and support the Services for you.
• You are responsible for Your Data being accurate and lawfully collected — including having your customers' consent where the law requires it.
• You can export Your Data while your account is active, and for a limited period after it ends.

Our Privacy Policy explains how we handle personal data in more detail.

When using the Services, you agree not to:

• break any law, or use the Services for fraudulent, harmful, or deceptive purposes;
• send spam or unsolicited messages, or message people who have not opted in to hear from you;
• upload malware, or content that is illegal, infringing, abusive, or misleading;
• try to gain unauthorised access to the Services, other accounts, or our systems, or probe, scan, or test their vulnerabilities;
• copy, resell, or reverse-engineer the Services, or scrape them with automated tools, except where the law allows it;
• overload or disrupt the Services, or share a single user log-in between multiple people.

We may remove content or restrict access when we reasonably believe these rules have been broken.

• AksharWAP runs on Meta's WhatsApp Business Platform. By using it, you also agree to comply with Meta's WhatsApp Business terms and policies — including collecting opt-in consent and using only approved message templates. Meta may restrict or suspend your WhatsApp number independently of us.
• Messaging charges set by Meta may apply in addition to your subscription, as described in your plan.
• The Services may connect with third-party tools, such as payment gateways or e-commerce platforms. Those services are governed by their own terms, and we are not responsible for them.
• Our website may link to other sites. We are not responsible for their content, accuracy, or privacy practices.

• Our products include AI-powered features, such as AI agents that reply to customer messages and insights generated from your data.
• AI output can be incomplete or inaccurate. Review important output before relying on it, especially for prices, stock, tax, or commitments to your customers.
• You decide how AI agents are set up and when conversations are handed to your team, and you are responsible for messages sent from your account.

The Services, our website, and everything in them — software, design, text, graphics, logos, and the names Logicode, AksharPOS, AksharWAP, and AkshaResto — belong to Logicode or our licensors. We give you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes while your account is in good standing.

Third-party names and logos belong to their respective owners. If you send us suggestions or feedback, we may use them to improve our products without any obligation to you.

• We work to keep the Services available and reliable, but they may occasionally be interrupted for maintenance, updates, or reasons beyond our control. We try to schedule planned maintenance at quiet times.
• Support is available through the channels listed on our website and in each product.
• We regularly improve our products, which may mean adding, changing, or retiring features. If we make a change that significantly reduces what a paid plan offers, we will give you advance notice.

• You can stop using the Services and cancel your subscription at any time.
• We may suspend or close an account that seriously or repeatedly breaks these Terms, fails to pay, or puts other users or the Services at risk. Where reasonable, we will give notice first.
• When an account closes, access ends. Your Data is kept for a limited period so you can export it, and then deleted, as described in our Privacy Policy.

Except as expressly stated in these Terms, the Services are provided "as is" and "as available". To the extent permitted by law, we do not promise that the Services will be uninterrupted or error-free, or that they will meet every specific requirement. You remain responsible for your business decisions, including tax and GST filings, even when they are based on reports from our products.

To the extent permitted by law:

• we are not liable for indirect or consequential losses, such as lost profits, lost revenue, or lost data arising from your use of the Services;
• our total liability for any claim relating to the Services is limited to the fees you paid us for the affected Service in the 12 months before the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law.

If a third party makes a claim against Logicode because of Your Data, your messages to customers, or your breach of these Terms or the law, you agree to cover the reasonable losses and costs that result.

We may update these Terms as our products or the law change. The "Last updated" date at the top shows the latest version. For significant changes, we will notify account holders by email or in the product before they take effect. Continuing to use the Services after that means you accept the updated Terms.

These Terms are governed by the laws of India. We encourage you to contact us first so we can try to resolve any concern informally. Any dispute that cannot be resolved this way is subject to the exclusive jurisdiction of the courts in Surat, Gujarat.
